Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you (the person or entity accessing or using Netto) and GNS, the company operating Netto. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

Netto is a cloud-based bookkeeping platform designed for self-employed individuals (ZZP'ers) and small businesses registered in the Netherlands. The service includes invoice and quote management, expense tracking, VAT (BTW) calculation and reporting, bank account reconciliation via open banking, AI-assisted receipt scanning, and accountant-ready export tools.
2. Eligibility and account
- You must be at least 18 years old to use Netto.
- If you are registering on behalf of a company, you represent that you have the authority to bind that entity to these Terms.
- You must provide accurate, current, and complete information when creating your account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at hello@netto.so if you suspect any unauthorised access to your account.
- One person or entity may not maintain more than one active free account.
3. Subscription and billing
Netto is offered on a subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page at the time of subscription.
- Billing cycle — Fees are billed in advance on a monthly or annual basis, depending on the plan you select.
- Payment processor — All payments are processed by Mollie B.V. By providing payment details, you authorise Mollie to charge your payment method. Mollie's terms and privacy policy apply to the payment transaction.
- Auto-renewal — Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date.
- Price changes — We will provide at least 30 days' notice before increasing subscription prices. Continued use after the notice period constitutes acceptance of the new price.
- Refunds — Fees are non-refundable except where required by applicable law. If you cancel mid-period, access continues until the end of the paid period.
- Taxes — Prices are exclusive of applicable VAT. Dutch VAT will be added where applicable.
4. Free trial
We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you before the trial expires.
5. Your data
You retain full ownership of all data you input into Netto, including invoices, expenses, customer records, and financial information. You grant GNS a limited, non-exclusive, worldwide licence to store, process, and display your data solely as necessary to provide and operate the service.
You represent and warrant that you have all rights necessary to submit your data to the service and that doing so does not violate any third-party rights or applicable law.
We process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
6. Bank connection (Enable Banking)
Netto integrates with Enable Banking, a licensed Account Information Service Provider (AISP) authorised under the EU Payment Services Directive 2 (PSD2) and regulated by the Finnish Financial Supervisory Authority.
- By connecting your bank account, you explicitly consent to Enable Banking accessing your transaction history and account balance on your behalf.
- This connection is read-only. Neither Netto nor Enable Banking can initiate payments or modify your bank account.
- You may revoke the bank connection at any time from your Settings page.
- Enable Banking's own terms of service and privacy policy govern their processing of your data.
- We are not responsible for the availability, accuracy, or continuity of data provided by Enable Banking or your bank.
7. Payment links (Mollie)
Netto allows you to add Mollie payment links to invoices sent to your customers. By activating this feature, you agree to Mollie's merchant terms of service. GNS acts solely as a facilitator of the Mollie integration; we are not a party to any payment transaction between you and your customers. You are solely responsible for ensuring your use of payment links complies with applicable law and Mollie's terms.
8. Acceptable use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable Dutch or EU laws and regulations
- Submit false, fraudulent, or misleading financial data
- Attempt to gain unauthorised access to our systems, other users' accounts, or any part of the service not intended for you
- Interfere with or disrupt the integrity or performance of the service
- Reverse engineer, decompile, or attempt to extract source code from the service
- Resell, sub-license, or commercially exploit the service without our prior written consent
- Use the service to store or transmit malicious code, spam, or unsolicited communications
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
9. Intellectual property
The Netto service, including its design, software, trademarks, and content (excluding your data), is owned by GNS and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use GNS's trademarks, logos, or other brand elements without prior written permission.
10. Disclaimer of warranties
Not professional advice. Netto provides tools to assist your bookkeeping and tax administration. It does not constitute and should not be relied upon as professional tax, legal, or accounting advice. You remain responsible for the accuracy of your financial records and any submissions made to the Dutch Tax Authority (Belastingdienst). We recommend consulting a qualified accountant or tax advisor for complex situations.
11. Limitation of liability
To the maximum extent permitted by Dutch law, GNS's total cumulative liability to you for any claims arising from or related to the service (whether in contract, tort, or otherwise) shall not exceed the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.
GNS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or reputational harm, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded under Dutch mandatory law, including liability for gross negligence (grove nalatigheid) or wilful misconduct (opzet).
12. Indemnification
You agree to indemnify and hold harmless GNS and its employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
13. Service availability and changes
- We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be announced in advance where possible.
- We reserve the right to modify, suspend, or discontinue any feature or aspect of the service with reasonable notice. Material changes to core features will be notified at least 30 days in advance.
- We may update these Terms at any time. We will notify you by email of material changes. Continued use after the effective date constitutes acceptance of the revised Terms.
14. Termination
By you: You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You may export your data at any time while your account is active, and for 30 days following cancellation.
By us: We may suspend or terminate your account immediately and without prior notice if you materially breach these Terms, engage in fraudulent activity, or if continued access poses a risk to other users or the service. In non-urgent cases, we will provide reasonable notice and an opportunity to remedy the breach.
Upon termination, your right to access the service ceases. We will retain your data in accordance with our data retention obligations described in the Privacy Policy.
15. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the service shall be submitted exclusively to the competent court of the District Court of Amsterdam (Rechtbank Amsterdam), Netherlands, unless mandatory consumer protection law requires otherwise.
16. General
- Entire agreement — These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and GNS regarding the service.
- Severability — If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions remain in full force.
- Waiver — Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
- Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
- Language — These Terms are provided in English. In the event of any inconsistency between an English version and any translation, the English version prevails.
